Acceptance of These Terms
Welcome to Milsched.com (the “Service”). By accessing or using Milsched.com, you agree to be bound by these Terms of Service (“Terms”). If you do not agree with these Terms, you must not use the Service. These Terms form a binding agreement between you (the user) and the owners/operators of Milsched.com (“we,” “us,” or “our”). Your use of the Service is also subject to our Privacy Policy (referenced herein) which describes how we handle personal data. By using the Service, you represent that you have the legal capacity to enter into this agreement and to abide by all Terms.
Description of the Service
Milsched.com provides online tools for scheduling and workforce management, primarily tailored for military units but open for use by any authorized business or individual. The features of the Service include (but are not limited to):
Scheduling Tools and Duty Rosters: Create and manage schedules, duty rosters, and assignments for personnel.
Manning Documents: Maintain manning or staffing documents where members of an organization may upload personnel information (including personal details of members, as described below).
Communications Platform (Planned): The Service may introduce communication features (such as messaging or announcements) in the future to facilitate coordination within your team or organization.
We reserve the right to expand, modify, or discontinue any feature of the Service at any time. Any new features or tools added to the Service in the future will also be subject to these Terms.
No Official Affiliation: Milsched.com is a private, third-party service. We are not affiliated with or endorsed by the U.S. Department of Defense (DoD), the Department of War, or any military service branch or government agency. Any military terms or references on the Service are for descriptive purposes only and do not imply any official sponsorship or relationship. Users should not assume that use of this Service is required by any military authority; it is an optional tool and is not an official DoD system.
Account Registration and Security
You may need to create an account to use certain features of Milsched.com. Eligibility: You represent that you are at least 18 years old (or the age of majority in your jurisdiction) or have the consent of a parent/guardian, and that any information you provide about yourself is truthful and accurate. You agree to keep your account information updated and secure. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. If you become aware of any unauthorized use of your account or security breach, you must promptly notify us. We are not liable for any loss or damage arising from your failure to protect your account information.
We reserve the right to suspend or terminate accounts that we suspect are being used in violation of these Terms or any law, or any account with incomplete, untruthful, or outdated information. We may also refuse registration or cancel accounts at our discretion, for example, if we determine a user is not an appropriate member of our target community or is misusing the Service.
User Content and Optional Personal Information
User Content Responsibility
Milsched.com allows you and other users to input and upload content such as schedules, roster information, messages, and documents (“User Content”). You are solely responsible for any Content that you upload, submit, or transmit via the Service. This includes ensuring that the content is accurate, not confidential or proprietary to a third party (unless you have permission), and that its use on the Service will not violate any laws or rights of others. We do not pre-screen User Content, and we do not control or guarantee the accuracy or quality of content posted by users. Any reliance on or use of User Content by you is at your own risk – for example, if you rely on a duty roster uploaded by another user, you do so understanding that we are not responsible for any errors or omissions in that content.
By uploading or submitting any content, you grant us a worldwide, royalty-free license to use, store, reproduce, and display your content (including personal information contained therein) solely for the purpose of operating and providing the Service. This license allows us to make backups, show the content to other authorized users (for example, members of your unit or organization who have access to the same roster or schedule), and otherwise handle the content as needed to deliver the Service. We will not use your content for any other purposes outside the scope of Service functionality without your permission.
Optional Personal Data Disclosure
Some features of Milsched.com (such as manning documents or detailed rosters) may involve entering personal or sensitive information about yourself or others. Examples of personal information that users might upload include:
DoD Identification Numbers: e.g., a service member’s DOD ID number.
Government Travel Card Information (GTC): card numbers or related travel card data.
Contact Details: such as mailing addresses or telephone numbers.
Other Personal Identifiers: any other personal data (e.g., emergency contact info, positions, ranks, etc.) that a supervisor or team lead might request for scheduling or administrative purposes.
Providing any personal information via the Service is entirely optional and at your discretion. The owners of Milsched.com do not require you to upload personal data to use the Service; any such request typically comes from your organization or supervisor, and is not mandated by Milsched.com itself. If your supervisor or another user asks you to input personal details into Milsched.com, you should understand that you have the choice whether to do so. You assume all responsibility for any personal information you decide to upload to the Service. If you choose to include personal data (yours or others’) in the Service, you represent that you have the authority or consent to do so and you acknowledge that this information may be accessible to other authorized users in your organization.
We emphasize that Milsched.com is not responsible for any information uploaded by users. We do not guarantee the security or privacy of content that you share within your unit or group on the Service beyond the technical and administrative measures we implement (see Privacy section below). Use of or reliance on any personal information or content uploaded by any user is at your own risk. You agree that we shall not be liable for any loss or damage arising from the disclosure or use of personal information that you or other users provide on the Service. For example, if a member of your group misuses personal data obtained from the Service or if you inadvertently share sensitive information, Milsched.com is not responsible for those outcomes.
We also reserve the right to remove or restrict access to any User Content that we believe violates these Terms or applicable law, or that could cause harm to the Service or other users. However, we do not assume any obligation to monitor all content. You are encouraged to exercise caution when uploading personal data and to comply with all applicable privacy laws or regulations (including any Department of Defense regulations, if relevant, since we are not an official system of record).
Privacy and Data Protection
We take user privacy seriously. Any personal information you provide to Milsched.com is subject to our Privacy Policy (which is incorporated into these Terms by reference). While this Terms of Service explains your choices and our disclaimers regarding optional data uploads, please refer to the Privacy Policy for details on how we collect, use, store, and protect personal data. (Our Privacy Policy will be made available on the site; by using the Service, you agree to the collection and use of information in accordance with that policy.)
In summary, when you voluntarily upload personal information, we will use it only as necessary to provide the Service features (e.g., to populate a roster or contact list for your unit). We employ reasonable security measures (such as encryption for data in transit or at rest) to protect your data. However, you understand that no system is completely secure and we cannot guarantee absolute security of your information. To the extent permitted by law, you agree that Milsched.com shall not be liable for unauthorized access to or loss of any personal data, especially if such access results from your own actions or omissions (for example, sharing your password or failing to restrict who you invite to your roster).
If you have concerns about privacy or data protection on Milsched.com, or if you want to request deletion of your personal data from the Service, please contact us (see Contact Information at the end of these Terms).
Note: Because Milsched.com is not a Department of Defense system, any personal information you provide is not covered by DoD privacy regulations and is instead protected under our own Privacy Policy and general applicable laws. We encourage you to never upload classified information or any data that you are not authorized to share on an unclassified, non-government system.
Fees, Membership Plans, and Payment
Free and Paid Services: Milsched.com may offer both free services and premium services that require payment. We reserve the right to introduce membership plans or subscription fees for certain or all features of the Service. For example, basic scheduling features might remain free while advanced features or higher usage limits could require a paid membership. We will inform users of the pricing and terms of any such membership or subscription at the time of offering.
Changes to Fees: Any prices or fees for using Milsched.com are subject to change at any time without notice. We reserve the right, at our sole discretion, to modify the amount charged for any service or to impose new fees for features that were previously free. This means that we can increase, decrease, or eliminate fees for any functionality as we see fit, and such changes can be effective immediately when posted. While we may attempt to notify users of significant pricing changes (for instance, via email or on the site), we are not obligated to provide advance notice. It is your responsibility to review the current pricing before making use of paid features. We are not liable to you or any third party for any modifications, price changes, or discontinuation of paid services.
Billing and Payment: If you sign up for a paid membership, you agree to pay all applicable fees and taxes. Payment terms (e.g., monthly subscription, annual fee, one-time charges) will be presented to you when you elect to enroll in the paid service. All fees are in U.S. dollars unless otherwise specified. If you provide a payment method (such as a credit card), you authorize us to charge that method for the fees due.
Unless otherwise stated, fees are non-refundable. If you choose to cancel a paid subscription, you may continue to have access to the paid features until the end of your paid term, but you will not receive a refund for any remaining period. We reserve the right to offer or deny refunds or credits at our sole discretion, in accordance with any applicable refund policy we publish.
Auto-Renewals: If your membership is based on a subscription term (for example, monthly or yearly), it may automatically renew at the end of each term, unless you cancel before the renewal date. Upon auto-renewal, we will charge your provided payment method the then-current membership fee (which may have changed). We will provide a way for you to cancel auto-renewal (such as an account settings option or by contacting customer support). If pricing has materially increased, we may (but are not required to) notify you in advance so you can decide to cancel before renewal.
Failure to Pay: If we cannot collect payment (due to an expired card, insufficient funds, or otherwise), we may suspend or downgrade your account to a free tier until you arrange payment. You agree to promptly update your billing information as needed. We are not responsible for any bank fees, overdraft charges, or other costs you incur due to attempted billing.
Modifications, Downtime, and Maintenance
We strive to keep Milsched.com running smoothly, but we do not guarantee that the Service will be available at all times or error-free. From time to time, the Service may be down for maintenance, upgrades, or due to technical issues. We may also update or change the Service’s interface, features, or how it operates. We reserve the right to modify or discontinue the Service (or any part of it) at any time, temporarily or permanently, with or without notice. For example, we may shut down a particular feature if it is no longer used or replace it with a new feature.
You agree that we are not liable to you or any third party for any modification, suspension, or discontinuation of the Service. This includes any impact that such changes might have on your data. We recommend that you maintain your own backups of any important data (for instance, download or export critical schedule information or rosters regularly). While we may provide notice of major changes (such as posting an announcement for a planned downtime or emailing users about a significant feature removal), there may be instances where immediate action is taken without notice (e.g., to patch a security vulnerability or comply with legal requirements).
If you are using Milsched.com as part of an organization, it is your organization’s responsibility to have contingency plans in case of Service unavailability (for example, having a copy of the duty roster offline). Any historical or archived information on the site is provided for reference only and may not be up-to-date; we have no obligation to update historical data.
No Official Endorsement or Advice
Aside from our lack of government affiliation noted above, you understand that information and content on Milsched.com (whether provided by us or by users) is for general scheduling and communication purposes. We do not provide any professional advice (legal, financial, or otherwise) as part of the Service. Any guidance or tips we provide (for example, through a blog or help center) are for convenience and you should consult appropriate professionals or official sources for authoritative advice. Any decisions you make based on information on the Service are made at your own risk. We do not guarantee that using Milsched.com will fulfill any official military requirements or that it will result in any particular outcomes for your unit’s readiness or compliance.
Acceptable Use and Conduct
You agree to use Milsched.com in a lawful manner and to respect the rights of others. Without limiting the foregoing, when using the Service you agree not to:
Violate any applicable laws or regulations, including U.S. Department of Defense regulations for handling information, if those apply to you.
Post or transmit any content that is unlawful, harmful, harassing, defamatory, obscene, or invasive of another’s privacy (this includes not posting personal information about others without consent).
Upload any content that you do not have the right to upload or that infringes on any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
Use the Service to store or transmit viruses, malware, or any malicious code.
Engage in any activity that could disrupt or interfere with the proper operation of the Service (including attempting to gain unauthorized access to the Service or other users’ data).
Misrepresent your identity or affiliation (you should not impersonate anyone or falsely imply you are acting on behalf of the U.S. military or Milsched.com).
Collect or harvest information about other users without their consent.
Use the Service for any commercial purpose not expressly permitted by us, such as reselling our services or unauthorized advertising.
We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this Acceptable Use policy, including removing offending content, suspending or terminating accounts, and/or reporting you to law enforcement authorities.
Intellectual Property
All content and materials provided by Milsched.com (excluding User Content you or other users provide) are owned by us or our licensors and are protected by intellectual property laws. This includes the software, design, logos, trademarks, and any text or images we have placed on the site. You are granted a limited, non-exclusive license to use the Service and view its content for your internal business or personal use in accordance with these Terms. You may not copy, modify, distribute, or create derivative works from our proprietary content without our prior written consent.
You retain ownership of the content you personally upload to the Service. However, as noted above, uploading content gives us permission to use it as needed to provide the Service. If you believe that your intellectual property rights are being infringed by content on Milsched.com, please notify us with detailed information so we can address the issue (such as by removing or disabling access to the infringing material in accordance with applicable law, e.g., the Digital Millennium Copyright Act for U.S. copyright issues).
Termination of Use
You are free to stop using Milsched.com at any time. You may delete your account or simply discontinue using the Service. Keep in mind that content you have entered (such as schedules or roster entries shared with your team) may remain available to other authorized users of that team even after you stop using the Service, unless they delete it or it’s removed by an admin. If you wish to have specific content removed, you can delete it (if you have permissions) or request an admin of your group or us to remove it.
Our rights to suspend or terminate: We reserve the right to suspend or terminate your access to the Service (or certain features of the Service) at any time, with or without notice, if you violate these Terms or if we suspect fraudulent, abusive, or unlawful activity on your account. In serious cases (for example, misuse that threatens the security or integrity of the Service), termination may be immediate. Upon termination, your right to use the Service will cease immediately. We may delete or deactivate your account and all associated data. You agree that we are not liable to you for any termination of your access or deletion of your data, and you acknowledge that you have no ownership rights in your account.
If your account is terminated due to a breach of these Terms, you are not entitled to any refund of any prepaid fees (if any). We also reserve the right to refuse service and access to the Service to anyone in the future if we have terminated that person’s account for a violation.
Survival: Any provisions of these Terms that by their nature should survive termination (such as disclaimers of warranty, limitation of liability, indemnification, arbitration agreement, and governing law) shall continue to be in effect after your access to the Service has ended.
Disclaimer of Warranties
Milsched.com and all its services and content are provided “AS IS” and “AS AVAILABLE,” without any warranty of any kind. To the fullest extent permitted by law, we expressly disclaim all warranties, whether express, implied, or statutory, including but not limited to:
Implied Warranties: Any implied warranties of merchantability, fitness for a particular purpose, and non-infringement are disclaimed. We make no guarantee that the Service will meet your requirements or expectations.
Accuracy and Reliability: We do not warrant that any data or content (including scheduling information, dates, or personnel data) is completely accurate, current, or reliable. We do not guarantee the truthfulness or completeness of any information available through the Service – this applies to both user-provided content and any informational content we provide.
Availability and Security: We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not guarantee that the Service will be free from viruses, malware, or other harmful components, though we strive to prevent such issues.
Results and Suitability: We make no representation that the use of the Service will achieve any particular outcome or that the Service is suitable for your specific needs. For example, we do not promise that using Milsched.com will ensure your military unit’s readiness or compliance with any regulation – it is a tool to assist you, used at your discretion.
No Warranty for Third-Party Content: Any third-party links or content accessible via Milsched.com (for example, if we integrate a third-party tool or you follow a link to another site) are not warranted by us. We are not responsible for content or services provided by third parties.
In summary, your use of Milsched.com is at your own risk. We provide no warranty or guarantee of any kind that the Service will function as intended or that information will be accurate or secure. If you are dissatisfied with the Service, your sole remedy is to stop using it.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not fully apply to you. In such cases, any implied warranties will be limited to the minimum scope and duration permitted by applicable law.
Limitation of Liability
To the maximum extent permitted by law, in no event shall Milsched.com or its owners, officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of (or inability to use) the Service. This includes, without limitation, any damages for lost profits, lost data, loss of goodwill, business interruption, or the cost of substitute services, even if we have been advised of the possibility of such damages.
Milsched.com’s total cumulative liability to you for any claims arising from or related to the Service or these Terms (whether in contract, tort, or otherwise) is limited to the greater of: (a) the total amount of fees you have paid us in the three (3) months immediately prior to the event giving rise to the liability; or (b) $100 USD. If you have paid no fees to us (for example, if you only use the free features), our total liability to you shall not exceed $100.
This means that if, for example, you experience an issue with the Service that causes you harm, our responsibility to compensate you is capped at these amounts. This limitation applies even if a remedy fails of its essential purpose.
Furthermore, we will not be liable for any loss or damage that is not reasonably foreseeable. We are not liable for the actions or content of third parties, or for any user content (e.g., if another user uploads defamatory or private information, or if there is misuse of someone’s personal data, the primary responsibility lies with the user who posted it, not Milsched.com).
Exceptions: Some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitation may not apply to you in its entirety. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
You acknowledge that Milsched.com is offered to you at either no cost or relatively low cost, and this allocation of risk (limiting our liability) is a fundamental part of the bargain between us. Without these limitations, the fees for using Milsched.com would likely be higher.
Indemnification
You agree to defend, indemnify, and hold harmless Milsched.com and its owners, operators, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) that arise from or relate to any of the following: (a) your use of the Service, (b) any User Content or information you upload (including personal information or any other data you provide), (c) your violation of these Terms, or (d) your violation of any law or regulation or any rights of another person.
In other words, if a third party (for example, another member of your organization) sues us or holds us responsible because of something you did on Milsched.com – such as you posting something you shouldn’t have, misusing someone’s personal data, or otherwise violating someone’s rights – then you will cover all of our costs and damages associated with that claim. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), and you agree to cooperate with our defense of such claim. You agree not to settle any such matter without our prior written consent.
This indemnification obligation will survive the termination of your use of the Service and the expiration or termination of these Terms.
Dispute Resolution and Arbitration
Please read this section carefully, as it affects your rights. By using Milsched.com, you and we agree that any disputes between us will be resolved through binding arbitration on an individual basis, rather than in court. This means you are waiving your right to a jury trial and to participate in any class action for such disputes.
Arbitration Agreement: If any controversy, claim, or dispute arises out of or relating to these Terms or your use of Milsched.com, it shall be resolved by final and binding arbitration. The arbitration will be administered by the American Arbitration Association (AAA) (or a similar reputable arbitration organization) under its applicable rules (for example, the Consumer Arbitration Rules if applicable). The Federal Arbitration Act (9 U.S.C. §§ 1 et seq.) will govern the interpretation and enforcement of this arbitration agreement, because we intend this agreement to be subject to arbitration as the exclusive remedy for disputes. Judgment on the arbitration award may be entered in any court having jurisdiction.
Individual Basis Only: All arbitration proceedings will be conducted solely on an individual basis and not as a class, consolidated, or representative action. The arbitrator may not consolidate or join the claims of other individuals or parties who may be similarly situated without the express consent of all parties. You and Milsched.com agree that you each may bring claims against the other only in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator shall have no authority to award class-wide relief or adjudicate any form of a collective or class action.
Arbitration Procedures: To begin an arbitration proceeding, the claimant must send a written notice describing the claim and relief sought to the other party. (We will provide an address for legal notices; you may use the contact information at the end of these Terms to initiate an arbitration request.) The arbitration will be conducted by a single arbitrator. The location of the arbitration shall be in the State of South Carolina, U.S.A., unless otherwise mutually agreed by you and Milsched.com. If you are an individual consumer using the Service for personal use, you may elect to have the arbitration conducted telephonically or via written submissions if in-person arbitration would impose a hardship. The arbitration shall be conducted in English. Each party will bear its own attorneys’ fees and costs, unless the arbitrator awards fees under applicable law or contracts. The arbitrator can award any relief that a court of competent jurisdiction could award, including individual injunctive relief or damages in accordance with law. The arbitrator’s award will be final and binding, and judgment on the award may be entered in a court of competent jurisdiction.
Exceptions: This arbitration agreement does not require arbitration of the following types of claims: (i) claims that are within the jurisdiction of a small claims court (if the claim is eligible to be heard in small claims court, either party can choose to pursue it there instead of arbitration), and (ii) claims for injunctive or equitable relief in aid of arbitration or to enforce the arbitration agreement (for example, to stop someone from misusing intellectual property or violating data privacy while an arbitration is pending). Additionally, nothing in these Terms prevents either you or us from bringing issues to the attention of federal, state, or local agencies that can, if the law allows, seek relief against the other on your behalf.
Opt-Out Right: We believe arbitration benefits both parties by providing a quicker, less formal means of resolving disputes, but if you prefer to retain your right to litigate in court, we respect that choice. You may opt out of this arbitration agreement by notifying us in writing within 30 days of first accepting these Terms. Your opt-out notice must include your name, your account information (if applicable), and a clear statement that you opt out of this arbitration agreement, and must be mailed to our contact address provided below. If you opt out, neither you nor Milsched.com can require the other to participate in an arbitration proceeding. (If you do not opt out within 30 days, you will be bound by this arbitration clause.)
Severability of Arbitration Terms: If any portion of this Dispute Resolution and Arbitration section is found to be unenforceable or unlawful (for instance, if the prohibition on class arbitration is found unenforceable), then the unenforceable portion shall be severed and the remaining provisions shall still be enforced. If a court decides that applicable law precludes enforcement of any of this arbitration agreement’s limitations as to a particular claim or request for relief (such as a request for public injunctive relief), then that particular claim/request must be severed from the arbitration and may be brought in court, while the remaining claims will proceed in arbitration. If for any reason the arbitration agreement is deemed inapplicable or invalid, you and we each waive, to the fullest extent allowed by law, any right to a jury trial.
Governing Law and Jurisdiction
These Terms and your use of Milsched.com shall be governed by and construed in accordance with the laws of the State of South Carolina, USA, without regard to its conflict of law principles. This governing law applies regardless of where you are located, meaning that the law of South Carolina will govern any dispute (except to the extent that U.S. federal law, such as the Federal Arbitration Act, may preempt South Carolina law).
Jurisdiction for Litigation: In the unlikely event that a dispute is found not subject to the arbitration provision above (or if you validly opt out of arbitration), then you and we agree that any lawsuit or court proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state courts located in Sumter County, South Carolina, or the federal court for the District of South Carolina. You consent to the personal jurisdiction of and venue in these courts, and waive any objection to such jurisdiction or venue (including objections based on inconvenience). This provision does not limit the enforceability of the above arbitration clause – it only comes into effect if a court proceeding is proper under these Terms.
If you access the Service from a jurisdiction outside the United States, you do so on your own initiative and are responsible for compliance with local laws. We make no representation that the content or operation of the Service is lawful or available in any particular location.
Changes to These Terms
Milsched.com reserves the right to modify or update these Terms of Service at any time, in its sole discretion. If we make material changes to the Terms, we will make reasonable efforts to notify you, such as by posting a prominent notice on our website or emailing registered users. However, it is your responsibility to review these Terms periodically for any changes. We will update the “Last Updated” date at the top of the Terms when we make changes.
Your continued use of the Service after any modifications to the Terms have been posted constitutes your acceptance of the revised Terms. If you do not agree to any updated Terms, you must stop using the Service. No amendment or modification of these Terms will be binding unless posted by us on the site or explicitly agreed by us in writing with you.
Miscellaneous
Entire Agreement: These Terms (together with any documents incorporated by reference, such as our Privacy Policy) constitute the entire agreement between you and Milsched.com regarding the Service, and supersede any prior agreements or understandings (whether oral or written) relating to the Service. Any additional or different terms proposed by you (for example, in an email or click-through agreement) are hereby rejected and will not alter these Terms, unless expressly agreed in writing by an authorized representative of Milsched.com.
No Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or of the right to enforce it in the future. Likewise, the waiver of any particular breach or default under these Terms shall not constitute a waiver of any subsequent or similar breach or default. All waivers must be in a signed writing to be effective.
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect. The parties agree that any invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable, and if it cannot be so modified, it will be excised from these Terms without affecting the validity of the rest of the Terms.
Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer these Terms (in whole or in part) as part of a merger, acquisition, sale of assets, or by operation of law, or otherwise at our discretion. These Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.
